Fulfillment Policy

This Fulfillment Policy (this “Policy”) describes what contractors purchase from HomeQuotely, how and when it is delivered, and the terms on which it is made available. HomeQuotely is a digital lead generation platform operated by REVJOLT LLC, a Delaware limited liability company (“HomeQuotely”, “we”, “us”, or our”). This Policy is incorporated by reference into, and forms part of, the Contractor Network Agreement executed between HomeQuotely and Contractor (the “Agreement”). Capitalized terms used but not defined in this Policy have the meanings given in the Agreement.

ALL PRODUCTS SOLD BY HOMEQUOTELY ARE DIGITAL. HOMEQUOTELY DOES NOT SELL PHYSICAL GOODS AND DOES NOT SHIP ANYTHING. HOMEQUOTELY SELLS ONLY TO APPROVED CONTRACTORS IN THE UNITED STATES AND DOES NOT SELL TO CONSUMERS. HOMEOWNERS ARE NOT CHARGED AND ARE NOT CUSTOMERS OF HOMEQUOTELY.

1. Scope; Order of Precedence.

This Policy applies to all Contractors. In the event of a conflict between this Policy and the Agreement, the Agreement governs, except that this Policy governs as to the description, delivery, and availability of what HomeQuotely sells. Credits, account balances, and cancellation are governed by the Credit Policy referenced in Section 7. Nothing in this Policy limits any right or remedy of HomeQuotely under the Agreement or at law.

2. What HomeQuotely Sells.

HomeQuotely sells access to exclusive homeowner project Leads generated through its consumer-facing websites. Contractor purchases individual Leads, each of which is offered to, and may be accepted by, one Contractor at a time. HomeQuotely does not sell home improvement services, does not perform any Contractor Services, and is not a party to any agreement between Contractor and a Homeowner. Homeowners submit Requests free of charge and are not customers of HomeQuotely.

3. What Contractor Receives.

3.1 Lead Assignments. Upon accepting a Lead offer, Contractor receives the Homeowner’s name, telephone number, e-mail address, service location, and Project details for that Lead, delivered to Contractor’s authenticated portal account. As provided in Section 2.3 of the Agreement, a Lead accepted by Contractor is made available to Contractor and to no other contractor, and HomeQuotely will not resell, syndicate, or otherwise transfer it. As provided in Section 2.4 of the Agreement, exclusivity concerns HomeQuotely’s conduct only and is not a representation that the Homeowner has not independently contacted other contractors or obtained competing bids.

3.2 Account Credit. If and to the extent HomeQuotely makes prepaid account funding available, Contractor may add funds to its account, which are applied against Lead Fees as Leads are accepted. Where HomeQuotely instead invoices Lead Fees, payment terms are governed by Section 3 of the Agreement.

4. Delivery.

4.1 Account Credit. Prepaid funds are credited to Contractor’s account balance and appear in Contractor’s transaction history promptly following successful payment authorization, and ordinarily within minutes, subject to completion of any fraud, verification, sanctions, or compliance review HomeQuotely or its payment processor may conduct. Funds so credited are available for immediate use to accept Lead offers.

4.2 Lead Offers and Acceptance. Lead offers are delivered continuously as Homeowner Requests are generated in the trades and ZIP codes within Contractor’s Coverage, subject to the limits Contractor configures under Section 1.5 of the Agreement. Each offer discloses the trade, ZIP code, Project details, and the exact Lead Fee, and, as provided in Section 2.1 of the Agreement, the Homeowner’s direct contact information is withheld until Contractor accepts the offer. A Lead offer is an offer only. No Lead Fee is charged, and no Lead is delivered, without Contractor’s affirmative acceptance. Offers expire in accordance with Section 2.2 of the Agreement.

4.3 Method. All delivery is digital, through Contractor’s authenticated portal account at https://homequotely.com, with notification by e-mail and, where Contractor has consented, by text message. Nothing is physically shipped. Contractor is responsible for maintaining accurate contact information and for ensuring that HomeQuotely notifications are not blocked or filtered; a notification that is delayed, filtered, or undelivered does not extend any response window or entitle Contractor to any credit.

4.4 No Delivery, Volume, or Outcome Guarantee. CONSISTENT WITH SECTION 2.5 OF THE AGREEMENT, HOMEQUOTELY MAKES NO REPRESENTATION, WARRANTY, OR GUARANTEE REGARDING THE NUMBER, FREQUENCY, QUALITY, TIMING, ACCURACY, OR CONVERSION RATE OF LEADS. LEAD VOLUME VARIES WITH HOMEOWNER DEMAND, SEASONALITY, MARKETING SPEND, COMPETITION, AND CONTRACTOR’S SELECTED COVERAGE AND LIMITS. HOMEQUOTELY MAY PAUSE ADVERTISING, SUSPEND A TRADE, OR DISCONTINUE SERVICE IN ANY GEOGRAPHY AT ANY TIME AND WITHOUT NOTICE. NO MINIMUM VOLUME IS PROMISED, AND A PERIOD WITHOUT LEAD OFFERS IS NOT A BREACH OF THE AGREEMENT.

5. Access to the Services.

Purchased Leads and account balances are accessible through Contractor’s portal account, which HomeQuotely makes generally available at all times. HomeQuotely does not guarantee uninterrupted, timely, secure, or error-free availability, and provides no uptime guarantee or service level commitment. HomeQuotely may suspend access for scheduled or emergency maintenance, security, or repair, and is not liable for any interruption caused by circumstances beyond its reasonable control. Account balances do not expire while Contractor’s account remains active.

6. Pricing; Currency; Taxes.

The Lead Fee for each Lead is displayed to Contractor before acceptance and is fixed at the time the offer is created, as provided in Section 3.1 of the Agreement. Contractor will never be charged an amount it was not shown before accepting. There is no subscription, recurring billing, committed term, or monthly minimum. All prices and transactions are stated and settled in United States dollars (USD). Lead Fees are exclusive of taxes, which are Contractor’s responsibility as provided in Section 3.5 of the Agreement.

7. Credits, Withdrawals, and Cancellation.

Lead Credits, account balances, withdrawals, and account cancellation are governed exclusively by the HomeQuotely Contractor Credit and Cancellation Policy, available at https://homequotely.com/refund-policy (the “Credit Policy”), as updated from time to time. In summary, and subject in all respects to the Credit Policy: Contractor’s Refundable Balance may be withdrawn as cash at any time, net of amounts owed; Leads meeting the qualifying grounds are credited rather than refunded; promotional credit has no cash value; and Contractor may pause or close its account at any time.

8. Eligibility and Restrictions.

HomeQuotely sells only to contracting businesses located in the United States that have applied to and been approved for the Network. HomeQuotely does not sell to consumers or to buyers outside the United States. Approval is discretionary and may be granted, conditioned, or withheld as provided in Section 1.2 of the Agreement. As provided in Section 6.1 of the Agreement, Contractor is solely responsible for holding and maintaining every license, registration, permit, bond, and insurance policy required for its business, and HomeQuotely does not verify, and makes no determination, representation, or warranty regarding, any Contractor’s licensure, insurance, or qualifications. Approval to participate in the Network is not a verification, certification, or endorsement of any Contractor.

9. Support.

Contractor may contact HomeQuotely by telephone at (725) 867-0124 or by e-mail at hello@homequotely.com. Support hours are Monday through Friday, 9:00 a.m. to 6:00 p.m. Central Time, excluding holidays. HomeQuotely targets a response to inquiries within two (2) business days. This is a service target only and is not a warranty, service level commitment, or guarantee, and a failure to meet it is not a breach of the Agreement.

10. Delivery Failures; Sole Remedy.

If Contractor believes a Lead was not delivered as described in this Policy, Contractor’s sole and exclusive remedy is to submit a Lead Credit request under the Credit Policy within the window and on the grounds set forth in it. A LEAD CREDIT ISSUED IN ACCORDANCE WITH THE CREDIT POLICY IS CONTRACTOR’S SOLE AND EXCLUSIVE REMEDY, AND HOMEQUOTELY’S SOLE AND EXCLUSIVE LIABILITY, FOR ANY ALLEGED FAILURE, DELAY, INTERRUPTION, OR DEFICIENCY IN DELIVERY UNDER THIS POLICY, AND IS IN LIEU OF ANY DAMAGES OR OTHER RELIEF. THE LIMITATIONS IN SECTION 13 OF THE AGREEMENT APPLY TO THIS POLICY.

11. Changes to this Policy.

HomeQuotely may update this Policy at any time by posting a revised version at https://homequotely.com/fulfillment-policy and updating the Last Updated date above. HomeQuotely will provide notice of material changes to active Contractors by e-mail to the address on the Contractor’s account at least thirty (30) days before the change takes effect. Contractor’s continued participation in the Network after the effective date constitutes acceptance. Changes do not apply retroactively to Leads accepted before the effective date.

12. Governing Terms; Business Contact.

Purchases are governed by the Agreement, this Policy, the Credit Policy, the Terms of Service, and the Privacy Policy. This Policy is governed by the internal laws of the State of Delaware, without regard to conflict of law principles, and any dispute arising out of or relating to it is subject to Sections 15.8 and 15.9 of the Agreement, including the arbitration provision and class action waiver.
