This Contractor Credit and Cancellation Policy (this “Policy”) governs Lead Credits, account balances, and account cancellation for contractors participating in the HomeQuotely contractor network operated by REVJOLT LLC (“HomeQuotely”, “we”, “us”, or “our”). This Policy is incorporated by reference into, and forms part of, the Contractor Network Agreement executed between HomeQuotely and Contractor (the “Agreement”). Capitalized terms used but not defined in this Policy have the meanings given in the Agreement.
A LEAD CREDIT IS THE SOLE AND EXCLUSIVE REMEDY AVAILABLE TO CONTRACTOR WITH RESPECT TO ANY LEAD, INCLUDING ANY LEAD ALLEGED TO BE INVALID, INACCURATE, UNRESPONSIVE, DUPLICATIVE, OR OTHERWISE DEFICIENT. CONTRACTOR MAY WITHDRAW ITS REFUNDABLE BALANCE, CONSISTING OF ITS OWN UNAPPLIED FUNDS AND CONTRACTOR-FUNDED LEAD CREDITS, AS CASH AT ANY TIME UNDER SECTION 3.6. PROMOTIONAL CREDIT AND HOMEQUOTELY-FUNDED LEAD CREDITS HAVE NO CASH VALUE AND ARE FORFEITED ON TERMINATION.
1. Scope; Order of Precedence.
This Policy applies to all Contractors and to all Leads accepted on or after the Last Updated date above. In the event of a conflict between this Policy and the Agreement, the Agreement governs, except that this Policy governs as to the mechanics of Lead Credit eligibility, submission, review, and application. Nothing in this Policy limits any right or remedy of HomeQuotely under the Agreement or at law.
2. What Contractor Pays For.
Contractor is charged only for Leads it affirmatively accepts after reviewing the Project details and the exact Lead Fee disclosed in the offer. Participation in the network is not a subscription. There is no monthly minimum, committed term, or cancellation fee. Lead Fees are earned by HomeQuotely upon Contractor’s acceptance of a Lead and are not contingent on the outcome of the Lead, including whether the Homeowner responds, engages Contractor, or proceeds with the Project.
3. Account Balances.
3.1 Invoiced Lead Fees. Except as provided in Section 3.2, Lead Fees are invoiced and payable in accordance with Section 3 of the Agreement. Contractor remains obligated to pay each invoice in full when due notwithstanding any pending Lead Credit request, and may not withhold, offset, or delay payment on account of a request that has not been approved.
3.2 Prepaid Funds. If and to the extent HomeQuotely makes prepaid account funding available to Contractor, amounts Contractor deposits from its own funds (“Prepaid Funds”) are applied against Lead Fees as Leads are accepted. Unapplied Prepaid Funds may be withdrawn at any time by written request from Contractor’s account email address. HomeQuotely will return unapplied Prepaid Funds to the original funding source where practicable, or by ACH to a United States bank account Contractor designates, within ten (10) business days of receipt of a complete request. HomeQuotely may first apply unapplied Prepaid Funds against any amount Contractor owes HomeQuotely, whether or not then due. No withdrawal fee applies and no minimum balance is required.
3.3 Lead Credits. A “Lead Credit” is an account credit issued by HomeQuotely under Section 4 in the amount of the Lead Fee charged for the Lead to which it relates. A Lead Credit is applied against future Lead Fees or invoiced amounts by an offsetting ledger entry, is not transferable, and does not expire while Contractor’s account remains active. A Lead Credit takes the character of the funds that paid the Lead Fee it reverses. A Lead Credit reversing a Lead Fee that Contractor paid from its own funds, whether by Prepaid Funds or by payment of an invoice, is Contractor-funded and forms part of the Refundable Balance. A Lead Credit reversing a Lead Fee that was satisfied with Promotional Credit is HomeQuotely-funded and forms part of the Non-Refundable Balance. HomeQuotely records the origin of each credit in Contractor’s transaction history.
3.4 Promotional Credit. Credit issued by HomeQuotely at no cost to Contractor, including founding partner credit and any other promotional or courtesy credit (“Promotional Credit”), is applied against Lead Fees before Prepaid Funds. Promotional Credit has no cash value, is not transferable, is not refundable under any circumstance, and is forfeited immediately upon suspension, cancellation, or termination of Contractor’s account. Promotional pricing, where offered in writing, applies for the term stated in that written offer and on the conditions stated in it.
3.5 Refundable and Non-Refundable Balances. Contractor’s account balance consists of two components. The “Refundable Balance” means, at any time, the sum of (i) unapplied Prepaid Funds and (ii) unapplied Contractor-funded Lead Credits, in each case as described in Sections 3.2 and 3.3. The Refundable Balance represents Contractor’s own funds and is withdrawable as cash in accordance with Section 3.6. The “Non-Refundable Balance” means the sum of unapplied Promotional Credit and unapplied HomeQuotely-funded Lead Credits. The Non-Refundable Balance has no cash value, is not withdrawable under any circumstance, and is forfeited upon suspension, cancellation, or termination of Contractor’s account.
3.6 Withdrawal of the Refundable Balance. Contractor may withdraw all or part of its Refundable Balance at any time, whether or not Contractor closes its account, by written request sent from Contractor’s account e-mail address to hello@homequotely.com. HomeQuotely will return the amount withdrawn to the original funding source where practicable, or otherwise by ACH to a United States bank account Contractor designates, within ten (10) business days after receipt of a complete request. No withdrawal fee applies, and Contractor is not required to maintain any minimum balance. Withdrawal is subject to the following: (i) HomeQuotely may first apply the Refundable Balance against any amount Contractor owes HomeQuotely, whether or not then due, including unpaid invoices, reversed credits, chargebacks, and amounts recoverable under Section 5.2, and will return only the net amount; (ii) HomeQuotely may withhold a withdrawal pending resolution of any open chargeback, suspected fraud, or review under Section 5; (iii) Contractor is responsible for the accuracy of the payment details it designates, and HomeQuotely has no liability for a transfer made to details Contractor supplied; and (iv) withdrawal does not reverse, refund, or otherwise affect any Lead Fee for a Lead Contractor accepted.
3.7 Nature of Balances. Account balances are a record of credit available to purchase Leads. They are not a deposit account, are not held in trust or escrow for Contractor, bear no interest, and are not insured by any governmental authority. HomeQuotely is not a bank, trustee, fiduciary, or money transmitter with respect to any balance. HomeQuotely may report and remit any unclaimed Refundable Balance in accordance with applicable unclaimed property law.
3.8 Application Order. Amounts are applied in the following order unless HomeQuotely determines otherwise: (i) Promotional Credit; (ii) HomeQuotely-funded Lead Credits; (iii) Contractor-funded Lead Credits; (iv) Prepaid Funds; and (v) invoiced amounts payable under Section 3 of the Agreement.
4. Lead Credit Requests.
4.1 Submission Window. Contractor must submit a Lead Credit request within five (5) business days after accepting the Lead, or within such other period as HomeQuotely displays for that Lead in the contractor portal. Requests submitted after the applicable window closes will not be considered, and the window is not subject to extension.
4.2 Submission Requirements. Each request must be submitted through the contractor portal, unless HomeQuotely designates other available methods from time to time, and must be accompanied by a written explanation identifying the ground relied upon, together with all documentation and evidence reasonably supporting that ground, which may include call detail records, lawfully obtained call recordings, text or e-mail correspondence with the Homeowner, and any other materials HomeQuotely may reasonably request. HomeQuotely may deny any request that is not accompanied by such explanation and supporting evidence, and the review period in Section 4.5 does not begin until a complete request is received.
4.3 Qualifying Grounds. A Lead Credit request may be submitted only on one or more of the following grounds:
- (i) the telephone number provided is disconnected, invalid, or belongs to a person other than the Homeowner who submitted the Request;
- (ii) the contact information provided is materially false, or the Lead duplicates a Lead previously delivered to Contractor for the same Homeowner and the same Project;
- (iii) the Homeowner did not request service in the trade under which the Lead was categorized, or the Project is for work outside the scope of the trade as described in the Lead offer;
- (iv) the service address is outside the Coverage configured on Contractor’s account at the time the offer was made;
- (v) where the Lead offer represented the property as owner-occupied, the Homeowner is neither the property owner nor an authorized decision-maker; or
- (vi) the Homeowner states that the Homeowner did not submit the Request.
4.4 Non-Qualifying Grounds. Because Leads are exclusive to Contractor and are priced accordingly, the following are expressly not valid grounds for a Lead Credit: the Homeowner did not answer, did not return a call, voicemail, or message, or stopped responding; the Homeowner engaged another contractor, declined Contractor’s bid, or decided not to proceed; the Homeowner postponed, delayed, or cancelled the Project; the Homeowner’s budget did not align with Contractor’s quote; the Project was smaller, larger, or different in value than Contractor anticipated where the Lead offer accurately described the Request; Contractor did not make contact within its own preferred timeframe; or Contractor failed to comply with Section 5 of the Agreement in attempting to contact the Homeowner.
4.5 Review and Determination. HomeQuotely will review each complete request and approve or deny it within two (2) business days of receipt of all information HomeQuotely reasonably requests. If a request is denied, HomeQuotely will identify the basis for denial, and Contractor may submit additional information one (1) time within three (3) business days for a single further review. HomeQuotely’s determination on that further review, or on the initial review if Contractor does not timely submit additional information, is final and binding. This Section does not extend the arbitration provision or any other dispute resolution provision of the Agreement to Lead Credit determinations.
4.6 Application of Approved Credits. Approved Lead Credits are posted to Contractor’s account automatically and appear in Contractor’s transaction history. A Lead Credit does not reduce, and does not excuse timely payment of, any invoice issued before the credit is posted; it is applied against subsequent Lead Fees or invoiced amounts.
4.7 Sole and Exclusive Remedy. A LEAD CREDIT ISSUED IN ACCORDANCE WITH THIS POLICY IS CONTRACTOR’S SOLE AND EXCLUSIVE REMEDY, AND HOMEQUOTELY’S SOLE AND EXCLUSIVE LIABILITY, WITH RESPECT TO ANY LEAD, INCLUDING ANY CLAIM THAT A LEAD WAS INVALID, INACCURATE, INCOMPLETE, DUPLICATIVE, UNRESPONSIVE, MISCATEGORIZED, OUTSIDE COVERAGE, OR OTHERWISE DEFICIENT, AND IS IN LIEU OF ANY DAMAGES OR OTHER RELIEF. CONTRACTOR’S RIGHT TO WITHDRAW ITS REFUNDABLE BALANCE UNDER SECTION 3.6 IS A RETURN OF CONTRACTOR’S OWN FUNDS AND IS NOT A REMEDY FOR, AND DOES NOT ENLARGE HOMEQUOTELY’S LIABILITY WITH RESPECT TO, ANY LEAD.
5. Request Rate; Abuse; Reversal.
5.1 Request Rate. HomeQuotely does not cap the number of Lead Credit requests Contractor may submit. HomeQuotely may, however, review any account with a request rate it reasonably determines to be inconsistent with good-faith use, may require additional supporting documentation before approving further requests, and may pause or suspend the account under Section 14.2 of the Agreement.
5.2 Reversal and Recovery. HomeQuotely may reverse, withhold, or recover any Lead Credit obtained through misrepresentation, omission, falsified documentation, or a request submitted in bad faith, and may invoice Contractor for the corresponding amount, which is due on receipt. Submission of a Lead Credit request containing a material misrepresentation is a material breach of the Agreement.
6. Pausing and Closing an Account.
6.1 Pausing. Contractor may pause Lead delivery at any time from the contractor portal as provided in Section 1.3 of the Agreement. Pausing stops new Lead offers, does not affect any balance, and does not relieve Contractor of any obligation with respect to Leads already accepted.
6.2 Closing. Contractor may close its account by written request from its account e-mail address. Closure takes effect within two (2) business days of receipt. Upon closure: (i) the Refundable Balance is returned to Contractor as cash in accordance with Section 3.6, net of all amounts Contractor owes HomeQuotely; and (ii) the Non-Refundable Balance, consisting of Promotional Credit and HomeQuotely-funded Lead Credits, expires and is forfeited. Contractor remains responsible for all Lead Fees for Leads already accepted and for its obligations under Sections 5, 6.3, 7, 8, and 12 of the Agreement as to those Leads.
7. Suspension or Termination by HomeQuotely.
HomeQuotely may suspend or terminate Contractor’s account on any ground set forth in Section 14.2 of the Agreement. In that event, the Refundable Balance is returned to Contractor in accordance with Section 3.6, net of all amounts Contractor owes HomeQuotely, and the Non-Refundable Balance is forfeited. Suspension or termination does not entitle Contractor to any refund of Lead Fees paid or any damages of any kind.
8. Service Interruptions; No Volume Commitment.
HomeQuotely may pause advertising, suspend a trade, or discontinue service in any geography at any time and without notice. If HomeQuotely does not deliver Lead offers in Contractor’s area for any period, the Refundable Balance is unaffected, does not expire while the account remains active, and may be withdrawn under Section 3.6. Consistent with Section 2.5 of the Agreement, HomeQuotely makes no representation, warranty, or guarantee regarding the number, frequency, quality, timing, or conversion rate of Leads, and a service interruption is not a breach of the Agreement or a ground for a Lead Credit, refund, or damages.
9. Chargebacks.
Contractor will contact HomeQuotely and follow the process in Section 4 before initiating any chargeback, payment dispute, or reversal with its bank, card issuer, or payment provider. Contractor waives the right to initiate a chargeback with respect to any Lead Fee for a Lead it accepted, and any such chargeback is a material breach of the Agreement. HomeQuotely may suspend an account with an open chargeback pending resolution, may set off the disputed amount against any balance, and may recover the amount charged back together with all associated fees and costs of collection, including reasonable attorneys’ fees.
10. Changes to this Policy.
HomeQuotely may update this Policy at any time by posting a revised version at https://homequotely.com/refund-policy and updating the Last Updated date above. HomeQuotely will provide notice of material changes to active Contractors by e-mail to the address on the Contractor’s account at least thirty (30) days before the change takes effect. Contractor’s continued participation in the network after the effective date constitutes acceptance. Changes do not apply retroactively to Leads accepted before the effective date, and do not alter promotional pricing locked for a stated term.
11. Governing Terms; Contact.
This Policy forms part of the Agreement and is governed by the internal laws of the State of Delaware, without regard to conflict of law principles. Any dispute arising out of or relating to this Policy is subject to Sections 15.8 and 15.9 of the Agreement, including the arbitration provision and class action waiver contained in Section 15.9.
